1. Acceptance of Terms

By accessing or using the SovereignOS™ platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and In Place Impact, LLC ("Company", "we", "us", or "our").

2. Intellectual Property Rights

The SovereignOS™ platform, methodology, and all related intellectual property, including but not limited to the Livingston-Baker Imperative, are proprietary to In Place Impact, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Livingston-Baker Imperative Protection: The Livingston-Baker Imperative, including all methodologies, frameworks, assessment tools, scoring systems, and related intellectual property developed by Robert Livingston and Dr. Darnisa Baker, is the exclusive property of In Place Impact, LLC. Any unauthorized use, reproduction, modification, or distribution of this intellectual property is strictly prohibited and may result in severe civil and criminal penalties.

All trademarks, service marks, trade names, logos, and other proprietary designations used on the Platform are the property of their respective owners. You may not use any such marks without the express prior written permission of the owner.

3. License Grant and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your internal business purposes only.

Territorial Licenses: Jurisdictional licenses granted through the Platform are exclusive to the licensed territory and may not be transferred, assigned, or sublicensed without express written permission from In Place Impact, LLC.

You may not: (a) modify, copy, or create derivative works of the Platform or its content; (b) reverse engineer, decompile, or disassemble the Platform; (c) remove or alter any proprietary notices; (d) use the Platform for any unlawful purpose; or (e) circumvent any security or authentication measures.

4. User Accounts and Credentials

Sentinel Credentials: If you are granted Sentinel credentials, you are responsible for maintaining the confidentiality of your license number, certification number, and access credentials. You agree to notify us immediately of any unauthorized use of your account.

All Sentinel activities are subject to strict compliance monitoring. Any attempt to access territories outside your licensed jurisdiction or to misrepresent your credentials will result in immediate account suspension and potential legal action.

5. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

6. Audit Data and Confidentiality

All jurisdictional, corporate, and educational audit data submitted through the Platform is considered confidential and proprietary. By submitting audit data, you grant us a license to use, analyze, and aggregate such data for the purpose of providing Platform services and improving our methodologies.

You agree not to disclose, publish, or distribute any proprietary information, audit results, or methodology details without express written permission from In Place Impact, LLC.

7. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Results Disclaimer: While the SovereignOS™ methodology is designed to identify and remediate systemic friction, actual results may vary based on numerous factors beyond our control. We make no guarantees regarding specific outcomes, financial returns, or performance improvements.

IN NO EVENT SHALL IN PLACE IMPACT, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

8. Indemnification

You agree to indemnify, defend, and hold harmless In Place Impact, LLC, Robert Livingston, Dr. Darnisa Baker, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; or (c) your violation of any rights of another.

9. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, all licenses granted to you under these Terms will immediately cease, and you must discontinue all use of the Platform.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in Charleston, South Carolina, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the modified Terms.
